IABM AGM 2021

Agenda

1. THAT the Minutes of the Annual General Meeting held on 30th September 2020 be approved.

2. THAT the Financial Statements for the period ended 31st December 2020 be approved.

3. THAT the Board be authorized to appoint the Auditors to the Association and to set their remuneration.

Special resolution

4. THAT with effect from the conclusion of the meeting the Articles of Association of the Company be amended by deleting article 21.3 and replacing it with the following new article 21.3: the appointment of fifteen directors by the Members as referred to in article 28.

This new resolution has been added as once the votes had been counted for the new board elections, we noticed that IABM’s commitment to diversity and inclusion in the widest sense had been significantly diminished from the current board representation. We observed that if we were to extend the board by a further five we got a markedly different picture. This would have the impact of increasing the elected board from 15 to 20 thus widening the representation. Furthermore the voting was very close throughout and there are just one or two votes separating the highest 15 candidates.  

The real impact of this enlargement would be to better reflect the level of diversity in our membership including representational diversity in size of company, regions our members are based, type of company and male/female representation.

We believe it would be a reputational issue for IABM to go forward with just the 15 board members when the 20 would be much more representative of the direction we are travelling.

We recognise that the Articles of IABM require scrutiny and amendment to ensure we are fully representative going forward and this work will be addressed by a Governance Working Group. However, as an interim step we believe the adoption of this resolution would ensure progress is made before the next elections in two years’ time. 

Following the formal business of the AGM, the CEO, Peter White will give a brief overview of the activities of IABM and the initiatives and changes we have deployed over the last year and we will be examining how the transformation in Broadcast and Media is reflected in today's membership.

We will then be announcing the results of the IABM Members Board election at this AGM and there will be a chance for you to meet and interact with a number of our new board members.
